Terms of Service

These Terms of Service govern your use of the Agency OS website, client portal, and our software development services. By using our services, you agree to these terms.

1. Services

Agency OS Inc. provides custom software development, web application development, consulting, and managed delivery services. All services are subject to:

  • Signed statements of work (SOW)
  • Agreed payment terms
  • Defined project scope and deliverables
  • Milestone-based delivery schedules

2. Client Responsibilities

As our client, you are responsible for:

  • Providing timely feedback and approvals at defined milestones
  • Supplying accurate business requirements and specifications
  • Providing access to necessary systems, accounts, and resources
  • Designating a project point of contact
  • Making payments according to agreed terms

3. Intellectual Property

Upon full payment, clients receive full ownership of custom code and deliverables as specified in the project agreement. Agency OS Inc. retains the right to:

  • Use general knowledge and techniques in future projects
  • Include the project in our portfolio (with client approval)
  • Reuse non-proprietary tools and components

4. Payment Terms

Standard payment terms include:

  • Deposits are required before project commencement
  • Milestone payments as outlined in the SOW
  • Final payment due upon project completion
  • Late payments may incur additional fees

5. Revisions and Changes

Scope changes and revisions are handled through a formal change request process:

  • Minor revisions within scope are included
  • Major changes require a change order with adjusted timeline and cost
  • Additional rounds of revisions beyond the agreed limit are billed separately

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This includes but is not limited to:

  • Business strategies and plans
  • Technical specifications and code
  • Financial information
  • User data and customer information

7. Limitation of Liability

Agency OS Inc.'s liability is limited to the total amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate the agreement with written notice. Upon termination:

  • Client pays for all work completed to date
  • All deliverables are provided for paid work
  • Confidentiality obligations remain in effect

9. Warranty

We provide a 30-day warranty period after project delivery for bug fixes related to agreed specifications. This does not cover:

  • Issues caused by third-party modifications
  • Changes to external APIs or services
  • New feature requests

10. Governing Law

These terms are governed by applicable laws. Any disputes shall be resolved through arbitration before resorting to litigation.

11. Changes to Terms

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the new terms.
